These Terms & Conditions (“Terms”) form a binding agreement between Companio Pty Ltd (ABN 53683515291) (“Companio”, “we”, “us”, “our”) and you (“you”) governing your access to and use of companio.ai and any websites, apps, APIs, and related products/services that link to these Terms (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. The Services are intended for users 18+.
We may update these Terms from time to time. We’ll post the new version and, where changes are material, notify you (e.g., email or in-product notice). Your continued use after the effective date constitutes acceptance.

You are responsible for complying with local laws where you access the Services. The Services are not designed for regulated data or uses (e.g., HIPAA, PCI DSS environments) unless we explicitly agree in writing. Do not use the Services in ways that would violate financial services, healthcare, or other industry-specific laws applicable to you.
No Professional Advice. Outputs generated by our AI features may be inaccurate, incomplete, or out of date and are provided for informational purposes only. They do not constitute legal, medical, financial, tax, or other professional advice. You are responsible for independent verification.
You may need an account to use some features. Provide accurate information and keep credentials confidential. You are responsible for all activity under your account. We may reclaim usernames and suspend or terminate accounts for breach.
You must not, and must not permit others to:
violate law, infringe IP or privacy rights, or submit unlawful, harmful, or abusive content;
upload malware, attempt to bypass security, or probe/scan systems;
reverse engineer, decompile, or extract source code except to the extent allowed by law;
use the Services to train models or build competing services;
automate access (scraping, bots) unless allowed by our API terms;
share login credentials or circumvent usage limits;
input personal or sensitive data you do not have lawful rights to process.
We may monitor misuse and enforce these Terms.
“Your Content” means prompts, uploads, files, text, images, audio/video, feedback, and other material you submit. You retain ownership of Your Content. You grant Companio a non-exclusive, worldwide, royalty-free licence to host, process, transmit, display, and otherwise use Your Content solely to provide and maintain the Services, including for security, support, quality, and troubleshooting.
We do not claim ownership over Your Content, and we do not sell Your Content.
“Outputs” are results generated by the Services in response to your inputs. As between you and us, subject to these Terms and third-party rights, we grant you a non-exclusive, worldwide licence to use, reproduce, display, and distribute Outputs for your business purposes. You are responsible for evaluating the accuracy, legality, and suitability of Outputs and for obtaining any necessary clearances for downstream use.
We may rely on third-party AI providers (e.g., OpenAI, Anthropic, Google). We share only what’s necessary to generate Outputs and operate the Services. You must not use the Services in a way that would cause us to violate those providers’ terms. Where an Output appears to reproduce third-party content, you must assess your rights before using it.
The Services, including software, site/app design, logos, trademarks, and other content (excluding Your Content and third-party content), are owned by Companio or our licensors and protected by law. We grant you a revocable, non-transferable, non-exclusive licence to access and use the Services during your subscription/authorised use, subject to these Terms. Except as permitted by law or expressly authorised by us, you must not copy, adapt, modify, distribute, or create derivative works of the Services.
Prices may be shown in USD unless stated otherwise. Australian customers: GST handling is per your checkout display; where applicable, GST will be included/added as required by law. We may change prices and fees with notice for upcoming billing periods.
You authorise us (and our payment processors, e.g., Stripe/PayPal) to charge all amounts to your selected payment method. You must keep payment details current. We may correct pricing errors even after requesting or receiving payment.
Plans renew automatically at the end of each term unless you cancel. The renewal term will match your current term (e.g., monthly/annual). You can cancel anytime effective at the end of the current paid term.
Trials run for the stated period. At trial end, unless you cancel, billing begins at the then-current rate for your plan.
Except where required by Australian Consumer Law (ACL) or our posted policy, fees are non-refundable and non-creditable once the billing period starts. Contact us before initiating a chargeback; unjustified chargebacks may be treated as breach.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, rights, or remedies you may have under the Competition and Consumer Act 2010 (Cth). If the Services are not of acceptable quality, you are entitled to a remedy. Where permitted, our liability is limited to the resupply of the Services or the cost of resupply.
We may add, change, or discontinue features at any time. Some features may be labelled beta/preview and are provided AS IS, may be unstable, and may change or be withdrawn. Usage limits (e.g., tokens, requests, storage) may apply.
The Services may integrate third-party products (e.g., AI models, analytics, email/SMS providers, storage). Third-party terms and privacy practices apply to those products. We are not responsible for third-party websites or services.
Your use of the Services is subject to our Privacy Policy (available on our website), which describes how we collect, use, disclose, and secure personal information, and includes our cross-border processing disclosures (e.g., Singapore/USA). By using the Services, you consent to our data practices as described there.
If you believe material on the Services infringes your copyright, contact support@companio.ai with sufficient details (work claimed infringed, location of material, contact details, and a statement under penalty of perjury of good-faith belief). We may remove or disable access to alleged infringing material and, where appropriate, terminate repeat infringers.
We may suspend or terminate your access immediately if you breach these Terms, create risk or possible legal exposure, fail to pay fees, or misuse the Services. You may terminate by cancelling your subscription and discontinuing use. Upon termination, your right to access the Services ends; certain sections survive (e.g., IP, payments due, disclaimers, limitations, indemnity, governing law).
AI & Information Disclaimer. The Services and all Outputs are provided “AS IS” and “AS AVAILABLE.” We make no warranty that Outputs or content are accurate, complete, reliable, or fit for any purpose.
General Disclaimer. To the maximum extent permitted by law, we disclaim all warranties (express, implied, statutory), including merchantability, fitness for a particular purpose, and non-infringement. Some rights cannot be excluded under the ACL; this clause applies only to the extent permitted.
To the maximum extent permitted by law, Companio and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenues, goodwill, data, or use, even if advised of the possibility.
Where liability cannot be excluded (including under the ACL), our total aggregate liability for all claims arising out of or in connection with the Services is limited to the fees you paid to us for the Services in the 6 months preceding the event giving rise to the liability, or AUD $1,000, whichever is greater, unless the law requires a different remedy. Nothing limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be limited by law.
You will indemnify and hold harmless Companio, its affiliates, and their officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) Your Content; (b) your breach of these Terms; (c) your violation of law or third-party rights; or (d) misuse of the Services.
We may retain data transmitted through the Services for service operation and compliance. You are responsible for backing up Your Content. We are not responsible for loss or corruption of data, subject to your non-excludable rights under the ACL.
You consent to receive notices and communications electronically and agree that electronic agreements and signatures have the same force and effect as originals.
By opting in, you agree to receive SMS from us (e.g., reminders, alerts, offers). You can opt out at any time by replying STOP. Message/data rates may apply. For help, contact support@companio.ai. We may use third-party providers to deliver messages.
You represent that you are not subject to sanctions or located in a restricted jurisdiction. You must not use the Services in violation of Australian, U.S., or other applicable export control/sanctions laws.
These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the exclusive jurisdiction of the courts of New South Wales for all disputes, except that we may seek injunctive relief in any jurisdiction.
These Terms (and any policies referenced, including the Privacy Policy) are the entire agreement and supersede prior agreements on the subject. If any provision is unenforceable, the remainder remains in effect. No waiver is effective unless in writing. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger, acquisition, or sale.
